Terms & Conditions

Effective Date: September 5, 2026
Last Updated: September 5, 2026

Welcome to Sharper Music Productions (“Sharper Music Productions,” “we,” “us,” or “our”).

These Terms & Conditions (“Terms”) govern your access to and use of the Sharper Music Productions website (the “Website”), including your use of music previews, website content, contact forms, mailing lists, links to third-party services, and other features made available through the Website.

By accessing or using this Website, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree with these Terms, please discontinue use of the Website.

1. Sharper Music Productions

Sharper Music Productions provides original music production, beats, instrumentals, music licensing opportunities, and related services for recording artists, content creators, businesses, and other prospective licensees.

The Website may allow visitors to preview music and follow links to third-party platforms, including Airbit, where certain beats may be licensed.

Unless expressly stated otherwise in a separate written agreement, music displayed or promoted through the Website is offered for licensing and is not being sold or assigned outright.

2. Website Terms vs. Beat License Agreements

These Terms govern use of the Sharper Music Productions Website.

They are separate from any individual Beat License Agreement entered into when licensing music.

If you purchase a beat license through Airbit, the specific license agreement presented and accepted in connection with that transaction establishes your rights and obligations concerning the licensed beat.

That agreement may address matters including:

  • permitted commercial and non-commercial uses;

  • streaming limits;

  • distribution limits;

  • sales and download limits;

  • music videos and audiovisual uses;

  • live and paid performances;

  • broadcast and synchronization rights;

  • producer credits;

  • composition and songwriting interests;

  • producer/master royalties;

  • accounting and reporting obligations;

  • license duration;

  • upgrades;

  • prohibited uses;

  • termination and cure rights; and

  • other rights or restrictions applicable to the selected license.

If these Website Terms conflict with a Beat License Agreement concerning the use or exploitation of licensed music, the applicable Beat License Agreement will control with respect to that music.

3. Beat Purchases Through Airbit

Sharper Music Productions may use Airbit as a third-party marketplace and technology provider for beat licensing.

When you follow a link from this Website to Airbit, you may be leaving the Sharper Music Productions Website and interacting with services operated by Airbit.

Beat licenses offered through Airbit may be subject to:

  1. the specific Beat License Agreement presented by Sharper Music Productions for the selected license;

  2. Airbit's applicable terms and policies; and

  3. terms imposed by applicable third-party payment processors.

Customers are responsible for reviewing the applicable Beat License Agreement before completing a purchase.

Sharper Music Productions does not intend these Website Terms to replace the license agreement presented at checkout.

4. No License Granted by Visiting the Website

Accessing this Website, playing an audio preview, receiving an email, submitting an inquiry, sharing a webpage, or otherwise interacting with Sharper Music Productions does not grant you a license to use any music.

A license is granted only after the applicable licensing requirements have been satisfied, including payment and acceptance of the applicable Beat License Agreement where required.

Unless separately authorized in writing, you may not use music simply because it can be streamed or previewed through the Website.

5. Ownership of Music

Except where expressly stated otherwise in a written agreement, Sharper Music Productions and/or the applicable rights holder retains ownership of the original beats, instrumentals, compositions, and other music made available through or promoted on the Website.

Purchasing a license grants only the rights expressly stated in the applicable Beat License Agreement.

A license does not constitute a sale of the underlying beat, transfer of copyright, copyright assignment, work-made-for-hire arrangement, or transfer of ownership unless a separate written agreement expressly states otherwise.

All rights not expressly granted are reserved.

6. Non-Exclusive Licensing

Unless a license is expressly identified in writing as exclusive, music offered for licensing may be licensed on a non-exclusive basis.

Accordingly, Sharper Music Productions may continue to display, promote, use, and license the same underlying beat to other customers.

A non-exclusive licensee receives only the contractual rights provided under the license purchased and does not acquire the right to prevent Sharper Music Productions or other properly licensed parties from using the underlying beat in accordance with their respective rights.

7. Audio Previews

Music previews are made available for evaluation and promotional purposes.

Permission to listen to a preview does not authorize you to:

  • record vocals over the beat for commercial release;

  • commercially distribute the beat;

  • monetize a recording incorporating the beat;

  • upload an unauthorized recording to streaming platforms;

  • synchronize the beat with monetized audiovisual content;

  • sell or sublicense the beat;

  • distribute copies of the beat;

  • claim ownership of the beat; or

  • otherwise commercially exploit the music.

A proper license must be obtained before engaging in any activity requiring authorization from the applicable copyright owner.

8. Intellectual Property

The Website and its original content—including, as applicable, music, audio previews, logos, branding, artwork, graphics, photographs, text, videos, designs, and other materials—are protected by applicable copyright, trademark, and other intellectual-property laws.

Except as expressly permitted, Website content may not be copied, reproduced, modified, republished, distributed, sold, commercially exploited, or used to create derivative commercial materials without authorization.

“Sharper Music Productions” and associated branding may not be used in a manner that falsely suggests sponsorship, endorsement, affiliation, or authorization.

9. Prohibited Music Uses

Unless expressly authorized under an applicable Beat License Agreement or other written permission, users may not:

  • download or extract beats from Website previews;

  • commercially release music incorporating an unlicensed beat;

  • resell or redistribute an original beat;

  • sublicense a beat to another artist or third party;

  • upload an original beat to another beat marketplace;

  • falsely claim authorship of an original beat;

  • claim sole ownership of an underlying composition that the user does not own;

  • register another person's intellectual property as solely their own;

  • represent a non-exclusive license as an exclusive acquisition;

  • exceed the limits of a purchased license; or

  • interfere with the rights of Sharper Music Productions or other authorized licensees.

The precise restrictions applicable after purchase are governed by the applicable Beat License Agreement.

10. Content Identification and Rights-Management Systems

Unless expressly permitted under an applicable Beat License Agreement or separate written authorization, users may not register a non-exclusively licensed beat in YouTube Content ID or another automated content-identification or rights-management system in a manner that asserts exclusive rights in the underlying beat or creates improper claims against Sharper Music Productions or other authorized licensees.

Specific Content ID restrictions associated with a purchased license will be governed by that license.

11. Producer Credit

Beat licenses may require credit to the producer.

The exact credit requirements will be stated in the applicable Beat License Agreement.

Customers are responsible for reviewing and complying with those requirements when releasing, distributing, promoting, or otherwise exploiting music incorporating a licensed beat.

12. Composition, Publishing and Producer Royalties

Certain Beat License Agreements may reserve songwriting, composition, publishing, producer, master-recording, royalty, or other economic interests to the producer or applicable rights holder.

Those rights are separate from the license fee paid to obtain permission to use a beat.

The applicable Beat License Agreement will determine any ownership percentages, royalty rates, recoupment provisions, accounting requirements, and registration obligations associated with the licensed music.

Licensees are responsible for ensuring that registrations and royalty information they submit to performing-rights organizations, distributors, publishers, publishing administrators, collection societies, and other applicable organizations are consistent with their Beat License Agreement.

Where applicable, Sharper Music Productions may provide purchasers with additional producer, writer, publisher, PRO, IPI, or registration information following purchase.

Nothing on this Website should be interpreted as granting a purchaser 100% ownership of an underlying composition, beat, or master unless an applicable written agreement expressly provides such ownership.

13. Copyright and Rights Registration

Licensees are responsible for properly registering their own finished works when they choose to register them.

No user may knowingly submit a copyright, performing-rights, publishing, distribution, metadata, or other rights registration that falsely identifies the user as the sole author or owner of material belonging to Sharper Music Productions or another rights holder.

Where a Beat License Agreement establishes songwriting or composition interests, the licensee is responsible for ensuring that registrations relating to the resulting song accurately reflect the rights established by the applicable agreement.

Sharper Music Productions may provide additional registration information or instructions following purchase.

14. License Limits and Upgrades

Different license tiers may provide different levels of usage.

Customers are responsible for understanding and monitoring the limitations of their purchased license.

If a song approaches a contractual limit, the licensee is responsible for obtaining any required upgrade or additional permission before exceeding the rights granted under the existing license.

Availability, pricing, and eligibility for an upgrade may be governed by the applicable Beat License Agreement and then-current licensing options.

15. Synchronization and Media Licensing

Music may require separate authorization for use in film, television, advertising, video games, applications, commercial campaigns, branded content, or other synchronization uses.

The availability of a beat on the Website should not be interpreted as granting unrestricted synchronization or broadcast rights.

Parties interested in these uses should submit a Sync Licensing Inquiry through Sharper Music Productions.

Licensing terms, approvals, and fees may vary according to the proposed use.

16. Pricing and Availability

Prices, beat availability, license tiers, promotions, and licensing options may change without prior notice.

A beat appearing on the Website does not guarantee that a particular license type will remain available indefinitely.

The applicable price and license terms presented in connection with a transaction govern that transaction.

Changes made after a completed transaction will not retroactively alter rights already granted under a valid Beat License Agreement unless that agreement provides otherwise or the parties agree in writing.

17. Payments, Delivery and Refunds

Where purchases are completed through Airbit or another third-party platform, payment processing, checkout, electronic delivery, and certain transaction-related functions may be performed by that platform or its payment providers.

Customers should review all applicable purchase information and license terms before submitting payment.

Refund eligibility relating to a beat license may be governed by the applicable Beat License Agreement, the circumstances of the transaction, applicable platform policies, and applicable law.

Because downloadable music and licenses are digital products that may be delivered or made accessible immediately, customers should carefully confirm the selected beat and license before purchasing.

Nothing in these Terms limits any consumer right that cannot legally be waived.

18. Chargebacks and Payment Disputes

Customers experiencing a legitimate billing, delivery, or transaction problem are encouraged to contact the appropriate seller or platform so the issue can be investigated.

A chargeback, payment reversal, or payment dispute does not independently transfer intellectual-property ownership or create rights to use music without a valid license.

Rights following a refunded, reversed, canceled, fraudulent, or disputed transaction will be determined by the applicable Beat License Agreement and applicable law.

19. Third-Party Websites and Services

The Website may contain links to or integrations with third-party services, including music platforms, social-media platforms, distributors, payment providers, streaming services, and Airbit.

Sharper Music Productions does not control the independent terms, privacy practices, availability, security, or operation of third-party services.

A link to a third-party website does not necessarily constitute endorsement of all content, products, practices, or services offered by that third party.

Users should review the applicable terms and privacy policies before using third-party services.

20. Contact and Licensing Inquiries

The Website may allow users to submit questions regarding beat licensing, custom opportunities, synchronization, media licensing, or other business matters.

Submitting an inquiry does not create a license, partnership, agency relationship, joint venture, or contractual obligation unless the parties subsequently enter into an agreement.

Sharper Music Productions is not obligated to accept a proposed project or licensing request.

21. Mailing List and Marketing Communications

Visitors may have the option to subscribe to communications regarding new beat releases, licensing opportunities, promotions, announcements, and other Sharper Music Productions updates.

By voluntarily subscribing, you consent to receive those communications subject to applicable law.

Recipients may unsubscribe from marketing emails using the unsubscribe mechanism included in applicable messages.

Necessary transactional or customer-service communications relating to an existing transaction may be treated separately from marketing communications.

22. User Conduct

You agree not to use the Website:

  • for unlawful or fraudulent purposes;

  • to infringe another person's intellectual-property rights;

  • to introduce malware or malicious code;

  • to interfere with Website operation or security;

  • to attempt unauthorized access to accounts or systems;

  • to scrape or systematically extract Website content for unauthorized commercial use;

  • to impersonate Sharper Music Productions or another person; or

  • to engage in conduct designed to circumvent licensing requirements.

We reserve the right to restrict access to the Website where reasonably necessary to protect the Website, its users, or intellectual-property rights.

23. No Guarantee of Commercial Results

Sharper Music Productions does not guarantee that licensing a beat will result in commercial success, streams, sales, playlist placement, audience growth, label interest, synchronization placement, revenue, awards, or any other particular outcome.

Artists and other licensees remain responsible for their own creative decisions, recording, distribution, promotion, registrations, business operations, and compliance with their license agreements.

24. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website is provided on an “as available” basis.

While reasonable efforts may be made to maintain accurate information and Website availability, Sharper Music Productions does not guarantee that the Website will always operate without interruption or error.

Specific representations or warranties concerning licensed music should be determined by the applicable Beat License Agreement rather than these general Website Terms.

25. Limitation of Liability

To the maximum extent permitted by law, Sharper Music Productions will not be responsible for indirect, incidental, special, consequential, exemplary, or speculative damages arising solely from use of or inability to use the Website.

Sharper Music Productions is not responsible for interruptions, processing errors, outages, or other failures caused solely by independent third-party platforms outside its reasonable control.

Nothing in these Terms limits liability that cannot lawfully be excluded or limited.

26. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Sharper Music Productions and its owners, representatives, affiliates, and agents from third-party claims, liabilities, losses, damages, and reasonable expenses arising from your unlawful use of the Website, unauthorized exploitation of protected content, infringement caused by material you provide or add, or material violation of these Terms.

Rights and remedies concerning a purchased beat will additionally be governed by the applicable Beat License Agreement.

27. Minors

You must have the legal capacity to enter into binding agreements to purchase or enter into music licenses.

If you are under the age of legal majority applicable to you, a parent or legal guardian may need to review and enter into the applicable transaction on your behalf.

28. Privacy

Information collected directly through the Website is handled in accordance with the Sharper Music Productions Privacy Policy.

Information provided directly to Airbit or another third-party service may also be subject to that service's privacy policy and practices.

29. Governing Law

To the extent permitted by applicable law, these Website Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.

An individual Beat License Agreement may contain its own governing-law, jurisdiction, venue, or dispute-resolution provisions. Those provisions will control disputes arising specifically under that license to the extent stated in the agreement.

30. Severability

If any provision of these Terms is found unenforceable or invalid, the remaining provisions will remain in effect to the fullest extent permitted by law.

31. No Waiver

Failure to enforce a provision of these Terms on one occasion does not constitute a permanent waiver of that provision or any other right.

32. Changes to These Terms

Sharper Music Productions may update these Terms as its Website, services, or business practices evolve.

The current version will be identified by the “Last Updated” date displayed above.

Updates to these Website Terms do not retroactively change the material rights granted under a previously completed Beat License Agreement unless the applicable agreement permits the change or the parties otherwise agree.

33. Entire Agreement Regarding Website Use

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing general use of this Website.

They do not replace an applicable Beat License Agreement, custom synchronization agreement, exclusive license, or other separately executed music agreement.

34. Contact

Questions concerning the Website, these Terms, licensing opportunities, or Sharper Music Productions may be submitted through the Website's contact form.
